Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Orkney Corp. ("Company," "we," "us," or "our"), a company registered in Singapore, governing your access to and use of the PrivéTag platform ("Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

PrivéTag is an AI-powered smart concierge platform that provides hotel guests with personalized activity recommendations and booking services. Our Service includes:

• AI-powered activity and experience recommendations
• Integration with third-party activity providers (Klook, Viator, GetYourGuide, KKday)
• Booking management and reservation services
• Multi-language AI chat assistance
• Hotel partner dashboard and analytics

3. User Access and Accounts

3.1 Guest Access

Hotel guests access the Service through NFC-enabled tokens or links provided by participating hotels. Guest access is temporary and expires 30 days after the check-out date. No account registration is required for guests.

3.2 Hotel Administrator Accounts

Hotel administrators must register for an account to access the hotel management dashboard. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Submit false or misleading information
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated systems or software to extract data from the Service
• Transmit viruses, malware, or other harmful code
• Engage in any activity that could damage, disable, or impair the Service

5. Bookings and Payments

5.1 Third-Party Services

When you book activities through our Service, you are entering into a direct agreement with the third-party activity provider (such as Klook, Viator, GetYourGuide, or KKday). These bookings are subject to the terms and conditions of the respective provider.

5.2 Payment Processing

Payments are processed through our payment partner, Airwallex. By making a payment, you agree to Airwallex's terms of service. We do not store your complete payment card information on our servers.

5.3 Cancellations and Refunds

Cancellation and refund policies are determined by the individual activity providers. Please review the specific cancellation policy before completing your booking. We will assist in communicating with providers but cannot guarantee refunds.

The Service and its original content, features, and functionality are and will remain the exclusive property of Orkney Corp. and its licensors. The Service is protected by copyright, trademark, and other laws of Singapore and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Orkney Corp.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Orkney Corp., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from third-party services or activities booked through the platform
• Damages resulting from unauthorized access to or alteration of your data
• Any other damages arising from your use of the Service

9. Indemnification

You agree to defend, indemnify, and hold harmless Orkney Corp. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orkney Corp. regarding the use of the Service and supersede all prior agreements and understandings.
